1. Introduction

Welcome to Saltz AI. These Terms and Conditions (“Terms”) govern your access to and use of the website at saltz.ai and any related pages, content, forms, and features we make available (together, the “Site”). The Site is operated by Saltz AI LLC, a limited liability company formed in the State of Wyoming, United States, with a registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States (“Saltz AI”, “we”, “us”, or “our”).

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, please do not access or use the Site.

2. Who We Are and What We Do

Saltz AI is an AI automation and consulting practice. Through our paid engagements we provide AI education, AI opportunity audits, automation and agent development, and related advisory and enterprise consulting services. The Site itself is an informational and lead-generation website that describes what we do and lets you get in touch with us.

3. Definitions

  • “Content” means all text, graphics, logos, images, designs, software, layout, and other material made available on the Site.
  • “Services” means the paid professional services we provide to clients under a separate written agreement.
  • “Submission” means any information you send to us through the Site, including form fields and free-text messages.
  • “you” and “your” mean the individual or entity accessing or using the Site.

4. Eligibility

The Site is intended for businesses and professionals. By using the Site, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.

5. Scope of These Terms and Relationship to Our Services

These Terms govern your use of the Site only. They do not by themselves create any client relationship, and submitting a form or contacting us does not oblige either party to enter into a contract.

Our paid Services are provided exclusively under a separate written services agreement, proposal, engagement letter, or statement of work signed by you and Saltz AI. Where there is any conflict between these Terms and a signed services agreement in relation to the Services, the signed services agreement controls for those Services.

6. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the “Last updated” date above and post the updated Terms on the Site. Your continued use of the Site after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Site.

7. Use of the Site and Acceptable Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that breaches any applicable local, national, or international law or regulation.
  • Use the Site for any unlawful, fraudulent, or harmful purpose, or in connection with any unlawful or fraudulent activity.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site, its servers, or any connected systems or networks.
  • Introduce any viruses, malware, or other material that is malicious or technologically harmful.
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission, or to collect or harvest personal data.
  • Reproduce, duplicate, copy, resell, or otherwise exploit any part of the Site except as permitted by these Terms.
  • Use the Site to transmit unsolicited or unauthorized advertising or promotional material.
  • Submit false, misleading, or impersonating information through any form.

We reserve the right, but are not obliged, to monitor use of the Site and to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms.

8. Account and Submission Accuracy

If at any time we provide features that require registration, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of any credentials and for all activity under your account.

When you make a Submission, you agree that the information you provide is accurate and that you are entitled to provide it.

9. Intellectual Property

All intellectual property rights in the Site and the Content are owned by or licensed to Saltz AI and are protected by copyright, trademark, and other laws. The Saltz AI name, the SALTZ AI wordmark, our logo, and the tagline “Preserve what matters. Transform the rest.” are trademarks of Saltz AI. Nothing in these Terms grants you any right to use them without our prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to view the Content for your own internal informational and non-commercial purposes, subject to these Terms. You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Site or Content except as expressly permitted by us in writing or by applicable law.

10. Your Submissions and Feedback

You retain ownership of any Submission you send us. By making a Submission, you grant Saltz AI a worldwide, royalty-free, non-exclusive license to use, store, process, and act on that Submission for the purposes of responding to you, evaluating a potential engagement, and operating our business, in accordance with our Privacy Policy.

If you send us suggestions, ideas, or feedback about the Site or our Services, you agree that we may use that feedback without restriction or obligation to you, and that it is provided to us on a non-confidential basis unless we have agreed otherwise in writing.

11. Confidentiality of Business Discussions

Any confidential business information you choose to share with us as part of a prospective engagement, whether through the Site or in follow-up communications, will be handled with reasonable care and used only to evaluate and pursue that potential engagement. Formal confidentiality obligations, where required, are set out in a separate non-disclosure agreement or in the signed services agreement.

12. Third-Party Links and Services

The Site may contain links to third-party websites, content, or services that are not owned or controlled by Saltz AI. We provide these links for convenience only and do not endorse and are not responsible for the content, products, services, or practices of any third party. Accessing third-party websites or services is at your own risk and subject to their terms and policies.

13. AI and Informational Content Disclaimer

The Content on the Site, including any descriptions of AI capabilities, automation outcomes, time or cost savings, and case examples, is provided for general informational purposes only. It does not constitute professional, legal, financial, or technical advice, and it is not a guarantee or warranty of any particular result. Any outcomes from our Services depend on factors specific to each client and are addressed in the relevant signed services agreement. You should not rely on the Content as the sole basis for any business decision, and you should seek independent professional advice where appropriate.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Site, you acknowledge that you have read the Privacy Policy.

15. Disclaimers and No Warranty

The Site and the Content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Saltz AI disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.

We do not warrant that the Content is accurate, complete, reliable, current, or error-free. Any reliance you place on the Content is at your own risk.

16. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Saltz AI, nor its members, directors, officers, employees, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to, use of, or inability to access or use the Site or the Content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above exclusions and limitations may not apply to you, in which case our liability is limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Saltz AI and its members, directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your Submissions, or your breach of these Terms or of any applicable law.

18. Suspension and Termination

We may suspend, restrict, or terminate your access to all or any part of the Site at any time, without notice or liability, for any reason, including if we believe you have breached these Terms. The provisions of these Terms that by their nature should survive termination will survive, including Sections 9 through 21.

19. Changes to the Site

We reserve the right to modify, suspend, withdraw, or discontinue the Site or any part of it, and any Content, at any time in our sole discretion, without notice and without liability to you. We do not guarantee that the Site or any Content will always be available or uninterrupted.

20. Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Informal resolution. Before bringing a formal claim, you agree to first contact us at bruno@saltz.ai and attempt in good faith to resolve the dispute informally.

Arbitration and venue. Subject to the consumer carve-out below, any dispute that cannot be resolved informally will be resolved by final and binding arbitration administered under recognized commercial arbitration rules, seated in Sheridan County, Wyoming, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. Alternatively, either party may bring an individual claim in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

Class action waiver. To the extent permitted by law, you and Saltz AI agree that any proceedings will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative action.

Consumer carve-out. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose mandatory laws give you the right to bring proceedings in your home courts or under your local law, nothing in this Section deprives you of the protection of those mandatory provisions, and you may bring proceedings as permitted by them.

21. Force Majeure

We will not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, power outages, or failures of third-party service providers.

22. General

  • Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Saltz AI regarding your use of the Site and supersede any prior agreements on that subject. Paid Services remain governed by their separate signed agreements.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • No third-party beneficiaries. These Terms do not give rights to any third party except as expressly stated.
  • Notices. We may provide notices to you by posting on the Site or by email. You may send notices to us using the contact details below.
